CATALYST investment involves the exchange of American Chemical Society funds for a Finder and Advisor Service (FAS) client's convertible debt.

Terms of the exhange include (but are not limited to) the following:

• Funds disbursed according to pre-agreed, product development-related milestones
• Interest rates are competitive to investments of comparable risk and maturity
• Lump sum repayment ("balloon")
• Maturities ranging from the debt's second (2nd) to third (3rd) anniversary, if not converted
• Success fees based on commercial achievement 
• Dollar-for-dollar match of the Society's funds is required from other private equity sources
• Board observance, together with customary information rights
