Phase I Process

What can clients expect- Phase I Request

1. APPLICATION

a. Finder & Advisor Service clients apply for Phase I funding.
b. Clients supply detailed information regarding the investment opportunity.
c. Clients provide a modest application fee for due diligence review.

2. MERIT & RISK REVIEW

TechCatalyst professionals and a panel of leading experts review the application and the C&AS technology candidate’s

• Intellectual property position,
• Market potential and other characteristics,
• Potential relative to current industry trends,
• Development capital requirements,
• Position relative to competition, and
• Investment opportunity.

3. TERM SHEET

With a successful Merit & Risk Review report, TechCatalyst professionals will offer a term sheet to its Finder & Advisor Service client.

4. NEGOTIATIONS

In consultation with the client, TechCatalyst professionals will negotiate and consummate a deal with the C&AS technology’s owner for acquiring it on behalf of the Finder & Advisor Service client.

5. EXIT

TechCatalyst will liquidate its investment according to the provisions of the term sheet.

Phase II Process

What can clients expect- Phase II request

1. APPLICATION

a. Finder & Advisor Service clients apply for Phase II funding.
b. Clients supply a detailed proposal that describes the

• Current state of the C&AS technology & key risks to be removed,
• Developmental milestones to be achieved that add value,
• Experimental design and methods to achieve those milestones,
• Key personnel involved in conducting and supervising the experiments,
• Timetables for achieving those developmental milestones,
• Target market or customers for the enhanced C&AS technology, and the
• Capital required to perform the experiments.

2. MERIT & RISK REVIEW

TechCatalyst professionals and a panel of renowned experts perform a detailed due diligence review of the client’s detailed proposal.

3. TERM SHEET

With a successful Merit & Risk Review report, TechCatalyst will offer a term sheet to its Finder & Advisor Service client to provide funding to conduct the experiments that achieve the developmental milestones which add value to the C&AS technology. Funding is released in conjunction with the achievement of each approved milestone.

4. MANAGEMENT

Clients are required to regularly advise and periodically meet with TechCatalyst professionals on progress. A final report is required.

5. EXIT

TechCatalyst will liquidate its investment according to the provisions of the term sheet.
